Overview

These Terms and Conditions govern all business-to-business (B2B) transactions between Lynx Distribution (10104095 Manitoba Inc.) and its authorized wholesale customers. By placing an order with Lynx Distribution, you agree to be bound by these terms.

B2B Sales Only

Lynx Distribution operates exclusively as a wholesale cannabis distributor. We do not sell to individual consumers. All customers must be one of the following:

  • A provincially licensed cannabis retailer holding a valid retail licence
  • A provincial liquor and cannabis board or crown corporation
  • A federally licensed cannabis processor or cultivator (LP-to-LP transfers)

Lynx Distribution reserves the right to verify licensing credentials before accepting any order and may refuse service to any party that cannot demonstrate valid authorization to purchase cannabis products.

Order Acceptance and Confirmation

All orders are subject to acceptance by Lynx Distribution. An order is not binding until we issue a written order confirmation. We reserve the right to decline or cancel any order due to:

  • Product unavailability or insufficient inventory
  • Invalid or expired licensing credentials
  • Outstanding payment obligations
  • Regulatory compliance concerns

Payment Terms

Unless otherwise agreed in writing, standard payment terms are Net 30 days from the date of delivery. Payment is due in Canadian dollars (CAD).

Late payments may be subject to interest at a rate of 1.5% per month on the outstanding balance. Lynx Distribution reserves the right to suspend future orders for accounts with overdue balances.

Pricing

All prices are quoted in Canadian dollars and are subject to change without notice. Prices confirmed on an accepted order will be honoured for that order. Applicable taxes, including excise duties, will be added as required by law.

Intellectual Property

All trademarks, brand names, logos, product designs, and marketing materials associated with products distributed by Lynx Distribution remain the property of their respective owners. Customers may not reproduce, modify, or use any intellectual property without prior written consent from the rights holder.

Limitation of Liability

To the maximum extent permitted by law, Lynx Distribution shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to any transaction, including but not limited to lost profits, business interruption, or loss of data.

Our total liability for any claim arising from a transaction shall not exceed the purchase price of the products giving rise to the claim.

Force Majeure

Lynx Distribution shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, regulatory changes, supply chain disruptions, or transportation interruptions.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Manitoba.

Amendments

Lynx Distribution reserves the right to update these Terms and Conditions at any time. Changes will be posted on this page with an updated revision date. Continued placement of orders after changes are posted constitutes acceptance of the revised terms.
